1. Overview
This website is operated by Cardio-Phoenix Limited. Throughout the site, the terms “we”, “us” and “our” refer to Cardio-Phoenix Limited. By accessing our website (cardiophoenix.com) or purchasing from us, you agree to be bound by the following terms and conditions (“Terms and Conditions” or “Terms”).
These Terms apply to all users of the site, including without limitation browsers, vendors, customers, and business entities. Please read them carefully. If you do not agree to these Terms, you must not use this website or any of our services.

3. Online Store Terms
By using this website and/or making a purchase, you confirm that you are authorized to act on behalf of a company or legal entity. Our products and services are available to both business (B2B) and individual customers (B2C).
You agree not to use our products for any unlawful purpose or in violation of any laws. You must not transmit any malicious code.
4. General Conditions
We reserve the right to refuse service to anyone, at any time, for any reason. Your content (not including payment data) may be transferred unencrypted across networks. Payment information is always encrypted.
You agree not to reproduce or exploit any part of the service without express written permission.
5. Accuracy, Completeness and Timeliness of Information
We make every effort to ensure accuracy, but are not responsible for outdated or incorrect information on the site. You agree to verify any information before acting upon it.
6. Modifications to the Service and Prices
We may change products, prices, or discontinue services at any time without notice. We are not liable for any such changes.
7. Products and Services
Our products (devices, components, software licenses) are available through our website and are intended for business use. Product quantities may be limited. All product descriptions and prices are subject to change without notice.
We do not guarantee that colors or specifications displayed on your monitor will be accurate.

8. Payment Terms
We accept payments via bank transfer (IBAN), PayPal, and credit or debit card payments processed through Mollie. All payments must be completed before products are shipped. Cardio-Phoenix Limited is not responsible for fees charged by third-party payment processors or banks.
9. Demo Device Evaluation Programme
This arrangement is available exclusively to organisations invited by a Cardio-Phoenix sales representative. It cannot be self-initiated through the webshop.
9.1 No charge at deposit step: No payment is collected from the Client at the time the trial commences. To authorise the card-on-file mandate required under Section 9.2, the Client will be directed to a secure payment page where €0.00 is processed. No funds are debited at this stage.
9.2 Payment Mandate Authorisation: By completing the €0.00 deposit step, the Client authorises Cardio-Phoenix Limited to store a reusable payment mandate (“the Mandate”) via Mollie B.V., the Company’s regulated payment service provider. The Mandate is captured via a zero-amount Strong Customer Authentication transaction in compliance with PSD2, and authorises the Company to initiate a single subsequent merchant-initiated charge for the Conversion Amount (defined in the Client’s Trial Agreement) in the circumstances set out in Section 9.5.
9.3 Trial Agreement and Acceptance: Before completing the deposit step, the Client must tick the acceptance checkbox on the payment page confirming they have read and accepted the Cardio-HART 30-Day Trial Agreement (“Trial Agreement”). The date, time, and IP address of acceptance are recorded against the Client’s order. The Trial Agreement sets out the exact Conversion Amount applicable to the Client’s device, the return procedure, and the governing terms for the trial.
9.4 Trial Period: The trial period is strictly 30 days from the date of recorded delivery, as confirmed by the courier delivery confirmation timestamp.
9.5 Advance Notice and Conversion Charge: If the device is not returned within the return window defined in Section 9.6, Cardio-Phoenix will give the Client at least 7 calendar days’ written notice by email before initiating a conversion charge. The conversion charge equals the Conversion Amount stated in the Client’s Trial Agreement, and is collected against the stored Mandate. No further card authentication is required from the Client prior to this charge.
9.6 Return Window: To avoid the conversion charge, the Client must initiate the return of the device within 10 working days following the end of the 30-day trial period. The device must be returned in good working condition, including all original accessories, cables, and manuals. Return shipping is at the Client’s expense. Cardio-Phoenix strongly recommends using a trackable shipping service.
9.7 VAT Invoice: Upon successful processing of the conversion charge, the Company shall issue a valid VAT invoice for the Conversion Amount to the Client’s billing email address within 24 hours. Title in the device passes to the Client upon successful processing.
9.8 Device Condition: The Client is liable for any damage, loss, or theft of the device during the trial period (excluding normal wear and tear). If the device is damaged due to negligence or misuse, the Client will be charged the cost of repairs or the full Conversion Amount, whichever is lower. If the device is lost or stolen, the full Conversion Amount will be charged immediately.
9.9 Admin-Only Arrangement: This programme is initiated exclusively by authorised Cardio-Phoenix administrators and is not available as a self-service option on the webshop.
10. Account Information
You agree to provide accurate billing and contact information and to update it promptly. We reserve the right to refuse or cancel any order if fraud or unauthorized behavior is suspected.
11. Third-Party Tools and Links
We may offer tools or content from third parties (e.g., Brevo, Notion, Google, LinkedIn, Facebook). We do not monitor or control such content. Use of these tools is at your own risk. Please review third-party terms and policies before engaging with them.
12. Comments and Submissions
If you submit ideas or suggestions, you grant us the right to use, modify, and publish them without compensation. You may not post unlawful or abusive content. We are not responsible for content posted by third parties.

14. Errors and Inaccuracies
Occasionally, there may be errors or omissions related to product descriptions, availability, pricing, or shipping. We reserve the right to correct such errors without prior notice.
15. Prohibited Uses
You are prohibited from using the site or its content:
For unlawful purposes
To violate intellectual property rights
To upload malicious code
To collect or track personal information without consent
To interfere with site security
16. Limitation of Liability
All products and services are provided “as is” and “as available.” We do not guarantee uninterrupted service. Cardio-Phoenix Limited is not liable for indirect or consequential damages, including loss of profit or data.
17. Indemnification
You agree to indemnify and hold harmless Cardio-Phoenix Limited from any claims or damages arising from your violation of these Terms.
18. Severability
If any part of these Terms is found unenforceable, the remainder shall remain in full force.
19. Termination
We may terminate access if you breach these Terms. Obligations and liabilities prior to termination shall survive termination.
20. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices posted by us, constitute the full agreement between you and Cardio-Phoenix Limited.
21. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the United Kingdom.
22. Updates to These Terms
We may update these Terms from time to time. Continued use of the website following updates implies acceptance of the revised Terms.
